Terms of Service

1. Acceptance of Terms
By accessing or using Umera (“the Service”), operated by UAB Umera, registered in the Republic of Lithuania, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service.
These terms constitute a legally binding agreement between you (“User”, “you”) and UAB Umera (“Umera”, “we”, “us”).
2. Description of Service
Umera provides a unified workspace for sales and support teams. The platform connects multiple messaging channels — including phone, SMS, WhatsApp, Instagram, Facebook Messenger, Telegram, and email — into a single inbox. Additional features include AI-powered conversation assistance, an auto-populating CRM, built-in VoIP calling with transcription, and team collaboration tools.
The Service is currently in early access. Features, pricing, and availability may change as we develop the platform. We will notify you of material changes.
3. Eligibility
You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate and complete information when creating an account and keep it up to date. Notify us immediately at support@umera.ai if you suspect unauthorized access.
5. Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages (spam) or bulk commercial communications without recipient consent.
- Harass, threaten, or abuse other users or their contacts.
- Transmit malware, viruses, or any harmful code.
- Violate any applicable local, national, or international law or regulation.
- Infringe on the intellectual property, privacy, or other rights of any third party.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service.
- Circumvent security measures, rate limits, or access controls.
- Impersonate any person or entity, or misrepresent your affiliation.
We reserve the right to investigate violations and suspend or terminate accounts that breach these terms, with or without notice depending on severity.
6. AI Features
Umera includes AI-powered features that analyze your conversations to draft replies, create contact records, track deals, and suggest follow-ups. All AI actions are presented as proposals — they are never executed without your explicit approval. You remain fully responsible for all messages sent and actions taken through the platform.
AI outputs may occasionally be inaccurate or incomplete. You should review AI-generated content before approving it. Umera is not liable for errors in AI-generated suggestions that you approve and send.
7. Billing & Subscriptions
Paid plans are billed monthly or annually as selected at the time of purchase. All fees are stated in euros (EUR) unless otherwise indicated. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
Refunds are available within 14 days of initial purchase for annual plans if you have not substantially used the Service. We reserve the right to change pricing with 30 days’ notice. Price changes do not affect the current billing period.
8. Data Ownership & Portability
You retain full ownership of all data you input, send, or receive through the Service. We do not claim any ownership or license over your content beyond what is necessary to operate the platform.
You may export your data at any time through the platform’s export features or by contacting support@umera.ai. Upon account deletion, we will delete your data within 30 days, except where retention is required by law.
9. Intellectual Property
The Umera platform, including its software, design, branding, and documentation, is owned by UAB Umera and protected by intellectual property laws. These terms grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works from any part of the Service.
10. Service Availability
We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.
11. Limitation of Liability
To the maximum extent permitted by law, Umera and its officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.
Our total liability for any claims arising from these terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or EUR 100, whichever is greater.
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold Umera harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your infringement of any third-party rights.
13. Termination
Either party may terminate this agreement at any time. You may close your account through the platform settings or by contacting support@umera.ai. We may suspend or terminate your account if you breach these terms, with notice where practicable.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be permanently deleted unless retention is required by law.
14. Governing Law & Disputes
These terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to conflict of law provisions. Any disputes arising from these terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Vilnius, Lithuania.
If you are a consumer in the EU, you may also be entitled to use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/odr.
15. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance. If you do not agree to updated terms, you may close your account.
