Terms of use

“UMERA”, “we” or “us” means UAB UMERA, a company governed by the law of the Republic of Lithuania. “Service” means the UMERA website, freight-procurement control room and related features.

If you do not agree to these terms, do not use the service. If you accept on behalf of a company, you confirm you are authorised to bind it.

The service is currently offered as an early pilot. Features, corridors, pricing and availability may change or be temporarily unavailable.

UMERA is a private RFQ tool for your own carriers. It is not a load board, and we do not act as an intermediary in the carriage contracts between you and your carriers.

When using the service you agree to:

The RFQ parser uses artificial intelligence to turn text into a structured RFQ. The output is a suggestion, not ground truth.

Always review the AI-extracted RFQ before sending it to carriers. You remain responsible for the contents of any RFQ you send and for the decision to award a load.

Carriers quote through a secure link bound to a known contact. You are responsible for which carriers you invite and which quote you accept.

The service may link to third-party tools or services, which are governed by their own terms.

The free plan includes a monthly load limit. Paid plans are billed at the prices shown on the site; fees are stated exclusive of VAT unless noted otherwise.

The pilot may be provided free of charge and may be discontinued at any time on reasonable notice.

UMERA, its brand, software and content belong to UAB UMERA or its licensors. The data you upload (orders, quotes, rate history) remains yours.

You grant us a limited licence to process your content solely to provide the service.

To the extent permitted by law, the service is provided “as is” and “as available”, without express or implied warranties of uninterrupted operation, accuracy, or fitness for a particular purpose.

To the extent permitted by law, we are not liable for indirect, incidental or consequential losses, lost profit or lost data arising from use of the service.

These terms do not limit liability that cannot be limited by law, and do not affect your statutory consumer rights.

We may update these terms; we will announce material changes on the site or by email. Continued use means you accept the updated version.

We may suspend or terminate access if these terms are breached. You may stop using the service at any time.

These terms are governed by the law of the Republic of Lithuania. Disputes are resolved by the courts of the Republic of Lithuania at our registered seat, without prejudice to mandatory consumer-protection rules.
